Terms of Service

Please read these Terms of Service carefully before installing or using WappEngage.
1. Agreement to Terms
By installing, accessing, or using the WappEngage application ("Service"), you ("Merchant" or "you") agree to be bound by these Terms of Service ("Terms") between you and WappCloud Technologies LLP("WappCloud", "we", "us", or "our").
If you are using WappEngage on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not install or use WappEngage. These Terms constitute a legally binding agreement. Please also review our Privacy Policy, which is incorporated by reference.
2. Description of Service
WappEngage is a Shopify application that provides:
- •WhatsApp revenue attribution — connecting Shopify orders to WhatsApp campaigns
- •Cart recovery automations via WhatsApp
- •Customer segmentation with AI assistance
- •Broadcast campaign management and tracking
- •WhatsApp subscriber opt-in management
- •Attribution dashboards showing ROAS by campaign and channel
WappEngage requires a Shopify store and connection to a WhatsApp Business API provider. WappEngage does not provide WhatsApp messaging infrastructure directly — it connects your existing WhatsApp Business API account to your Shopify store.
3. Eligibility & Account
- •You must have an active Shopify store to use WappEngage.
- •You must be at least 18 years old and legally capable of entering into contracts.
- •You are responsible for maintaining the security of your Shopify account and WappEngage credentials.
- •You must notify us immediately at hello@wappengage.com if you suspect any unauthorised access to your account.
- •WappEngage accounts are for the use of a single Shopify store. You may not use one WappEngage account for multiple stores without a separate subscription for each.
4. Subscription & Billing
WappEngage subscriptions are managed and billed through Shopify Billing. By subscribing, you authorise Shopify to charge your payment method on the billing cycle selected.
- •Free trial: We offer a 14-day free trial on eligible plans. No credit card is required to begin the trial.
- •After trial: You will be prompted to select a paid plan. If no plan is selected, the app will be paused.
- •Upgrades: Take effect immediately with a prorated charge for the remainder of the billing cycle.
- •Downgrades: Take effect at the next billing cycle.
- •Cancellation: You may cancel at any time from your Shopify Admin → Apps → WappEngage.
- •Refunds: Subscription fees are non-refundable per Shopify's standard billing terms, except where required by applicable law.
- •Shopify revenue share: Shopify retains 20% of all app subscription revenue as part of their platform fee. Prices displayed include this share.
5. Acceptable Use
You agree to use WappEngage only for lawful purposes. You must NOT use WappEngage to:
- •Send WhatsApp messages to individuals who have not opted in to receive marketing messages from your store
- •Send spam, bulk unsolicited messages, or messages that violate WhatsApp's Business Policy
- •Transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- •Violate any applicable law or regulation, including GDPR, CCPA, or local data protection laws
- •Reverse engineer, decompile, or attempt to extract the source code of WappEngage
- •Use WappEngage to compete with or create a competing product
- •Share your WappEngage credentials with third parties not authorised to access your Shopify store
- •Attempt to circumvent any usage limits or access controls
We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.
6. WhatsApp Compliance
You are solely responsible for your use of WhatsApp through WappEngage and must comply with:
- •WhatsApp Business Policy (whatsapp.com/legal/business-policy)
- •WhatsApp Messaging Policy
- •All applicable local laws governing electronic marketing and communications (e.g., CAN-SPAM, GDPR, PECR, CASL)
- •Obtaining valid, documented opt-in consent from customers before sending marketing messages
- •Providing a clear and accessible opt-out mechanism in every marketing message
- •Honouring opt-out requests within the timeframe required by applicable law
WappCloud is not responsible for any action taken by WhatsApp, Meta, or your WhatsApp Business API provider as a result of your messaging activities, including account suspensions.
7. Data & Privacy
Your use of WappEngage involves the processing of personal data from your Shopify store (customer names, phone numbers, order data). By using WappEngage, you appoint WappCloud Technologies LLP as a data processor acting on your instructions, as further described in our Privacy Policy.
You remain the data controller for your customers' personal data. You are responsible for:
- •Obtaining appropriate consent from customers for WhatsApp marketing
- •Maintaining an accurate and up-to-date privacy policy on your Shopify store
- •Complying with data subject access and deletion requests
8. Intellectual Property
WappEngage, its features, code, design, trademarks, and content are the intellectual property of WappCloud Technologies LLP. These Terms do not grant you any rights to our intellectual property except the limited licence to use the Service as described herein.
You retain ownership of your store data. By using WappEngage, you grant us a limited, non-exclusive licence to access and process your store data solely to provide the Service.
9. Third-Party Services
WappEngage integrates with third-party services including Shopify, WhatsApp Business API providers, and Anthropic Claude AI. Your use of these third-party services is governed by their respective terms of service. WappCloud is not responsible for the availability, accuracy, or conduct of any third-party service.
10. Service Availability & Modifications
- •We aim for high availability but do not guarantee uninterrupted service.
- •We may perform scheduled maintenance with advance notice where possible.
- •We reserve the right to modify, suspend, or discontinue any part of WappEngage with reasonable notice.
- •We may update these Terms at any time. Material changes will be communicated via email. Continued use after changes constitutes acceptance.
11. Disclaimer of Warranties
WappEngage is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, WappCloud disclaims all warranties, including but not limited to:
- •Merchantability or fitness for a particular purpose
- •Uninterrupted or error-free service
- •Accuracy of attribution data, ROAS calculations, or revenue projections
- •Results from using WappEngage (including revenue recovery, subscriber growth, or ROAS)
12. Limitation of Liability
To the maximum extent permitted by applicable law, WappCloud Technologies LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business, arising out of or related to your use of WappEngage.
In no event shall our total liability to you exceed the amount you paid to WappCloud (via Shopify Billing) in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless WappCloud Technologies LLP, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- •Your use of WappEngage in violation of these Terms
- •Your violation of any applicable law or third-party rights
- •Your WhatsApp messaging activities, including complaints from recipients
- •Any breach of your data protection obligations
14. Termination
Either party may terminate this agreement at any time. You may cancel by uninstalling WappEngage from your Shopify Admin. We may terminate or suspend your access immediately if you violate these Terms, engage in fraudulent activity, or if required by law.
Upon termination, your data will be retained for 30 days and then permanently deleted, as described in our Privacy Policy.
15. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of WappEngage shall be subject to the exclusive jurisdiction of the courts of Coimbatore, Tamil Nadu, India.
